These terms are a contract between you and Routora, Inc., a Delaware corporation ("Routora", "we", "us"). They govern the Routora mobile app, the Routora web app at routora.com, and our website (together, the "Service").
By creating an account or using the Service you agree to these terms and to our Privacy Policy at routora.com/privacy-policy. If you do not agree, do not use the Service.
These terms include an arbitration agreement and a class action waiver in section 14. Read it.
1. Who can use Routora
- You must be 18 or older.
- Routora is a business tool. You may use it only for your own business or for an employer or client who has authorized you.
- If you use the Service for a company, you confirm that you have authority to accept these terms on its behalf, and "you" includes that company.
- You may not use the Service if you are barred from doing so under the laws of the United States.
2. Your account
- Sign in with Google, Apple, an email and password, or a one time code sent to your US mobile number.
- Keep your credentials private. You are responsible for everything done under your account.
- One active mobile device per account. Signing in on a second phone or tablet signs the first one out. Web sessions are separate.
- Give us accurate information and keep it current.
- Tell us at legal@routora.com if you believe your account has been accessed without permission.
3. The Service
Routora helps you plan stops, optimize the order you visit them, navigate to each one, and record what happened there, including photos and notes.
Routes are suggestions. Optimization, ETAs, and directions are computed from third party map and traffic data and can be wrong. You are responsible for choosing a safe and lawful route, for obeying traffic laws, and for your vehicle, your cargo, and the people you visit. Do not interact with the app while driving.
Inspection records and professional responsibility. Routora organizes and displays information that users enter, import, or capture. Routora does not perform inspections, certify property conditions or safety, or verify that a visit or inspection was completed. You remain responsible for your professional judgment, inspection procedures, findings, reporting, deadlines, and compliance with applicable laws and agency requirements. Review records and reports before relying on them or submitting them to others.
Photos, location checks, and reports. Photos, timestamps, location checks, and metadata may be incomplete, inaccurate, or altered. They are not independent proof of presence, a completed inspection, authenticity, or an unbroken chain of custody. Routora does not guarantee that a report or record satisfies a legal or regulatory requirement, will be accepted by an authority or customer, or will be admissible as evidence. Keep any separate copies required for your professional or legal recordkeeping obligations.
Not for emergencies. The Service is not designed for emergency response, life safety, or any use where failure could cause injury or death.
Availability. We will use commercially reasonable efforts to keep the Service running. We do not promise uninterrupted or error free operation, and we do not offer service credits.
Changes. We may add, change, or remove features. If we discontinue the Service, we will give you reasonable notice and a way to export your data.
4. Subscriptions and payment
Plans. Creating or editing routes, optimizing stops, and other paid features require an active subscription or an eligible trial. Plan features and usage limits are shown in the app and on routora.com. Limits include the number of stops you can route and routes you can create in a period. When you reach a limit, the related feature pauses until the next period. After access to paid features ends, read only access to existing content is limited to the 30 day retention window in section 5. Subscription expiration alone does not close your sign in account, and you can still manage your subscription or request account deletion.
How you pay. Mobile subscriptions are purchased through the Apple App Store or Google Play and are billed by Apple or Google under their terms. Web subscriptions are billed by Stripe. We never see your card number.
Trial. A first web subscription may include a free trial. The length is shown at checkout. Your subscription starts and your card is charged when the trial ends unless you cancel before then.
Renewal. Subscriptions renew automatically at the end of each billing period until you cancel.
Cancellation. Cancel at any time. Mobile subscriptions are cancelled in your Apple or Google account settings. Web subscriptions are cancelled in the app under Settings. When you cancel renewal, paid access ordinarily continues until the end of the period already paid for. Account deletion, refunds, or suspension or termination under these terms may end that access earlier. Once cancellation is effective, your subscription will not renew.
Refunds. Payments are not refundable except where the law requires it or where we choose to grant one. Refund requests for App Store or Google Play purchases must be made to Apple or Google under their refund policies. Refund requests for web subscriptions go to legal@routora.com. A refund or reversal of a payment may end or reduce the paid access associated with that payment, subject to applicable law and the relevant store's rules. A refund does not itself delete your account or records.
Price changes. We will tell you by email at least 30 days before a price change takes effect. The new price applies at your next renewal after that date. If you do not agree, cancel before the renewal.
Taxes. Prices exclude taxes unless stated. You are responsible for any sales, use, or similar tax.
Deleting your account. Your Routora 2.0 web subscription is cancelled as part of account deletion. If a technical problem delays cancellation, we continue following up until cancellation is confirmed. Deleting your account does not cancel an App Store or Google Play subscription. Cancel those with Apple or Google to stop future renewals. Cancelling a subscription does not itself erase customer profiles or historical payment records held by payment or subscription providers; the Privacy Policy explains how those records are handled.
5. Your content
You own it. Routes, stops, addresses, notes, photos, and everything else you put into the Service is yours.
License to us. You give us permission to store, process, display, and transmit your content as needed to run the Service for you, including sending addresses and coordinates to our mapping providers. We claim no other rights in your content, and we do not use it to train models or for any purpose unrelated to serving you.
Your responsibilities. Much of your content describes other people, such as your customers or the properties you visit. You confirm that you are allowed to collect that information and to give it to us to process on your behalf, and that you will handle it in accordance with the laws that apply to you. If a person asks us about data you entered about them, we will refer them to you.
Photos. Photos you take in the app retain metadata present in the file, which may include GPS coordinates. You are responsible for who you share them with.
Storage after paid or trial access ends. Continued storage of Routora 2.0 routes, stops, inspection records, photos, notes, imported files and parsed import contents, and saved or recent addresses is part of your subscription or trial. A 30 calendar day retention window begins when access to paid features ends, including when a trial expires. Cancelling renewal does not start this window before your paid access ends. Any billing grace period that continues access to paid features delays the start of the window until that access ends.
During the retention window, you have read only access to your remaining content and can download reports available in the Service or contact us about an export. We display the deletion deadline and provide advance notice through the Service or your account contact details. Restoring paid access before the deadline cancels the scheduled deletion. Otherwise, we permanently delete this content from active systems by the end of the window, except for specific information we are legally required to retain. Resubscribing after deletion does not restore deleted content. Keep copies you need for your work or recordkeeping obligations. If your paid access has already ended when this rule first takes effect, we provide at least 30 days' notice before deleting your content under the new rule.
Basic sign in accounts and payment records follow the separate retention rules in the Privacy Policy. Backup copies of deleted content may remain for up to 30 additional days after deletion and are not available for customer retrieval or restoration by resubscribing. Statutory privacy rights and requests do not depend on maintaining a paid subscription.
Deletion. You can delete routes, photos, and your account in the app. Completed deletion cannot be undone through the Service. Copies of deleted content may remain in Routora's backups for up to 30 days after deletion. Provider customer profiles, payment records, and information that must be retained by law are handled as described in the Privacy Policy.
6. Acceptable use
Do not:
- Use the Service to track, locate, or surveil any person without a lawful basis
- Enter data about another person that you are not permitted to collect
- Upload content that is unlawful, infringing, or harmful
- Resell, sublicense, or provide the Service to third parties, or use optimization output as the basis for a competing product
- Access the Service by any means other than the app and web app we provide, including scripts, scrapers, or our API
- Probe, scan, or test the security of the Service, or attempt to bypass usage limits
- Reverse engineer, decompile, or extract source code from the app
- Share an account with other people or circumvent the one device rule
- Use the Service while driving in a way that violates the law
We may suspend or close accounts that break these rules.
7. Third party services
The Service relies on other companies' products, and your use of those products through Routora is subject to their terms:
- Google Maps Platform. Maps, addresses, routes, and directions in the Service come from Google. By using the Service you agree to the Google Maps End User Additional Terms of Service at maps.google.com/help/terms_maps and the Google Privacy Policy at policies.google.com/privacy.
- Apple App Store and Google Play, for mobile purchases and app distribution.
- Google Maps, Waze, and Apple Maps, when you open navigation. Those apps are not part of the Service.
We are not responsible for third party services, and they may change or stop working without notice.
8. Our intellectual property
The Service, including its software, design, logos, and documentation, belongs to Routora and its licensors. We grant you a limited, revocable, non transferable license to use the app and web app for your business within the access provided by your subscription, trial, the limited read only period, or account management features made available to you, while you follow these terms. We keep all rights not granted.
If you send us feedback or suggestions, we may use them without obligation to you.
9. The legacy Routora platform
Routora 2.0 replaces the original Routora app and web planner.
- If you had an account on the original platform, you can sign in to Routora 2.0 with the same credentials. Your original account is not copied until you sign in and accept these terms.
- An active subscription from the original platform is honored at its existing price and term until its next renewal.
- Shared route links created in the original app continue to work until the original platform is retired. They are served by our legacy systems.
- When we retire the original platform we will announce the date at least 30 days in advance. The original Terms of Service continue to govern your use of the original platform until that date. Prior terms are archived at routora.com/legal/archive.
10. Termination
By you. Delete your account in the app at any time.
By us. We may suspend or close your account if you break these terms, fail to pay, or if the law requires it. For serious violations we may act without notice. Otherwise we will tell you and give you a chance to fix the problem.
After termination. Your right to use the Service ends. Subscription expiration with the limited read only access described in sections 4 and 5 is not account termination. We delete your data as described in the Privacy Policy. Sections 3, 5, 8, 11, 12, 13, 14, and 16 survive to the extent relevant to events before termination or obligations intended to continue afterward.
11. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, Routora and its officers, directors, employees, and contractors acting in connection with the Service (together, the "Protected Parties") disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non infringement, and any warranty about the accuracy, completeness, reliability, or suitability of routes, ETAs, maps, geocoding, optimization results, inspection records, photos, metadata, or reports. We do not warrant that the Service will be secure, uninterrupted, or error free, or that its use will produce a particular business, inspection, or regulatory outcome. This section does not exclude warranties or rights that applicable law does not permit us to exclude.
12. Limitation of liability
To the fullest extent the law allows:
- The Protected Parties are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, data, or goodwill, or business interruption, arising from or relating to the Service or these terms.
- The combined aggregate liability of all Protected Parties for all claims arising from or relating to the Service or these terms is limited to the amounts you actually paid for the Service, including through an app store, during the 12 months before the first event giving rise to the claims. If you paid no such amounts during that period, the combined limit is US $100. This is one combined limit across all claims and Protected Parties; it does not increase with the number of claims or people named.
- These exclusions and limits apply to claims involving inspection records, reports, photos, location information, service interruptions, or lost or corrupted content, as well as other claims concerning the Service. They apply regardless of the theory of liability, including contract, tort, or negligence, even if a Protected Party was advised that the loss was possible or a remedy fails of its essential purpose.
Nothing in these terms excludes or limits liability for fraud, willful misconduct, or any other liability that cannot lawfully be excluded or limited. Mandatory statutory rights and remedies remain available. Where an exclusion or limit is not permitted, it applies only to the extent the law allows. Each Protected Party is an intended third party beneficiary of sections 11, 12, and 14 and may enforce those sections for claims concerning its work in connection with the Service.
13. Indemnity
You will defend and indemnify Routora and its officers, directors, employees, and contractors against claims, damages, and costs, including reasonable attorneys' fees, arising from your content, your use of the Service, your violation of these terms, or your violation of any law or any person's rights, including the rights of people whose information you enter into the Service.
14. Disputes, arbitration, and class action waiver
Talk to us first. Before filing a claim, email legal@routora.com with your name, account email, and a description of the problem. We will try to resolve it within 30 days. Any applicable time limit for filing the claim is paused during this 30 day period. This process does not prevent either party from seeking urgent relief otherwise permitted by this section or by mandatory law.
Arbitration. If we cannot resolve it, any dispute arising from these terms or the Service, including a claim against a Protected Party concerning its work in connection with the Service, will be settled by binding individual arbitration administered by the American Arbitration Association (AAA), except as stated below. For disputes arising from business use, the AAA Commercial Arbitration Rules apply. If the AAA Consumer Arbitration Rules apply under AAA's policies or applicable law, those rules apply instead. The rules and fee schedules are available at https://www.adr.org/rules-forms-and-fees/. AAA determines which of its rules apply under its policies. The Federal Arbitration Act governs this arbitration agreement.
Procedure and costs. Filing fees, administrative charges, and arbitrator compensation are allocated under the applicable AAA rules and mandatory law. Any hearing location or remote hearing procedure must comply with those rules and must not deny protections required for a consumer dispute. The arbitrator may award individual relief available under applicable law. A court decides whether an arbitration agreement was formed and any question concerning the enforceability of the class action waiver; other questions of arbitrability are for the arbitrator to the extent the law permits. Judgment on an award may be entered in any court with jurisdiction.
Exceptions. Either party may bring an eligible individual claim in small claims court. Either party may seek an injunction in court to protect intellectual property or to stop unauthorized use of the Service. This section does not prevent reporting a concern to a regulator or government agency, or pursuing any claim or remedy that applicable law does not allow the parties to require be arbitrated or waived.
Class action waiver. To the fullest extent the law allows, you and Routora agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative action. The arbitrator may not consolidate claims of more than one person except as the applicable rules or mandatory law require. If this waiver is found unenforceable for a claim, that claim proceeds in court, not arbitration. Nothing in this waiver eliminates a right or remedy that cannot lawfully be waived.
Opt out. You may opt out of this arbitration agreement by emailing legal@routora.com within 30 days of first accepting these terms. State that you want to opt out of arbitration and include your account email. Opting out does not affect any other part of these terms.
Governing law and venue. Delaware law governs these terms, without regard to its conflict of law rules, except that the Federal Arbitration Act governs the arbitration agreement and mandatory legal protections remain applicable. Except for eligible small claims cases and where mandatory law requires otherwise, any claim not subject to arbitration will be brought in the state or federal courts located in New Castle County, Delaware, and you consent to their jurisdiction.
Time limit. To the extent applicable law permits this limit, a claim arising from the Service or these terms must be filed within one year after it accrues, subject to the pause during informal resolution described above and any legally required tolling. This limit does not shorten any period that applicable law prohibits us from shortening. If this contractual limit cannot lawfully apply to a claim, the applicable statutory period governs that claim.
15. Apple App Store terms
If you downloaded the app from the Apple App Store, the following also applies:
- These terms are between you and Routora, not Apple. Apple is not responsible for the app or its content.
- Your license to the app is limited to Apple branded devices you own or control, as permitted by the App Store Terms of Service.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. Apple has no other warranty obligation.
- Routora, not Apple, is responsible for addressing any claims relating to the app, including product liability, legal or regulatory compliance, and consumer protection claims.
- Routora, not Apple, is responsible for investigating and resolving any third party claim that the app infringes intellectual property rights.
- Apple and its subsidiaries are third party beneficiaries of these terms and may enforce them against you.
16. General
Changes to these terms. When we change these terms in a way that matters, the app will ask you to review and accept the new version the next time you sign in. Minor edits take effect when posted with a new effective date. If you do not accept a new version, stop using the Service and delete your account.
Notices. We may notify you by email to the address on your account or inside the app. Send notices to us at legal@routora.com or to Routora, Inc., c/o A Registered Agent, Inc., 8 The Green, Suite A, Dover, DE 19901.
Assignment. You may not transfer these terms or your account. We may assign these terms in connection with a merger, acquisition, or sale of assets.
Entire agreement. These terms and the Privacy Policy are the entire agreement between you and Routora about the Service.
Severability. If any part of these terms is unenforceable, the rest remains in effect.
No waiver. Our failure to enforce a provision is not a waiver of it.
Export. You will not use the Service in violation of US export laws.
